About Jennifer
Jennifer focuses on business services, non-profit organizations, criminal and civil litigation.
Jennifer assists business clients on entity formation, minority shareholder disputes, corporate restructuring and governance. When forming corporations, Jennifer aids clients with their choice of entity selection and drafts their respective operating documents. For minority shareholder disputes, Jennifer demands shareholders’ meetings, drafts shareholder voting agreements, and litigates shareholder derivative suits. Jennifer also represents clients in joint ventures, secured transactions and general corporate governance.
When forming non-profit organizations, Jennifer assists clients in obtaining tax exemptions from both the Internal Revenue Service and the Indiana Department of Revenue, as wells as drafts specialized operating documents required of non-profit organizations by those agencies. Jennifer also assists those non-profit organizations with their day-to-day government compliance needs and annual filing requirements.
Drawing on her background in criminal justice, Jennifer counsels clients on a variety of issues related to business regulatory enforcement, white collar crimes, and personal liability of corporate officers. Jennifer also represents professionals before their respective licensing boards. Jennifer also aids clients in filing appeals and obtaining post-conviction relief. Jennifer has worked at the appellate level in the chambers of the Honorable Judge Edward W. Najam, Jr., on both federal and state constitutional issues.
Jennifer’s experience extends beyond business services and criminal defense. Jennifer represents homeowner and condominium associations, residential and commercial landlords, residential and commercial property management companies, real estate developers, contractors, and real estate investors. Jennifer litigates landlord-tenant disputes, contract disputes, debt collection, and defends counter-claims. Jennifer also assists clients with covenant enforcement, land-use, licensing, and state and municipal permit issues.
